1. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Service. When you create an account, you agree to provide accurate information and to keep it up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us promptly at tickrwise-support@metagraph.com of any unauthorized use. You may sign in using a supported third-party provider; your use of that provider is also subject to that provider's terms.
United States only. The Service is intended and made available only for users located in and residents of the United States. By creating an account or using the Service, you represent and warrant that you are located in, and a resident of, the United States and are accessing the Service from within the United States. We do not target, market, or offer the Service to individuals in the European Union, the United Kingdom, or other jurisdictions outside the United States, and the Service is not intended for use where such use would be contrary to local law. We may, in our sole discretion, limit, restrict, or block access to the Service from outside the United States. If you access the Service from outside the United States, you do so on your own initiative and at your own risk and are responsible for compliance with your local laws.
2. Description of the Service
Tickrwise uses artificial intelligence models to analyze public company disclosures — including SEC filings — and other market data to produce summaries, insights, and research tools to help you understand how a stock is doing. Features, data coverage, and availability may change, expand, or be discontinued at any time. We may impose usage limits or restrict access to certain features by subscription tier.
3. AI-generated content and accuracy
Portions of the Service are generated by automated AI systems. AI-generated content may be incomplete, outdated, or incorrect, and may misinterpret source documents or contain errors ("hallucinations"). We do not guarantee the accuracy, completeness, timeliness, or reliability of any content, figure, summary, or analysis on the Service. You are responsible for independently verifying any information before relying on it, including by consulting the original filings and primary sources.
4. No financial, investment, or professional advice
The Service is provided for informational and educational purposes only. It does not constitute financial, investment, trading, legal, accounting, or tax advice, and does not constitute a recommendation, offer, or solicitation to buy or sell any security or to adopt any investment strategy.
Tickrwise is not a registered broker-dealer, investment adviser, or financial planner and does not act as a fiduciary. Investing in securities involves risk, including the possible loss of principal. Past performance does not guarantee future results. You are solely responsible for your own investment decisions and should consult a qualified, licensed professional who is aware of your individual circumstances before making any financial decision. You assume full responsibility and risk for any decisions you make based on the Service.
5. Data sources
The Service relies on data from third-party and public sources, including filings and data from the U.S. Securities and Exchange Commission's EDGAR system and market data providers. We are not the author of, and are not responsible for, the accuracy of underlying third-party data. Tickrwise is not affiliated with, endorsed by, or sponsored by the SEC or any company covered on the Service.
6. Subscriptions, billing, and cancellation
- Plans and fees. Some features require a paid subscription. Prices, features, and billing intervals are shown at the point of purchase and may change with notice for future billing periods.
- Payment. Payments are processed by our third-party payment processor. By subscribing, you authorize us and our processor to charge your payment method for applicable fees and taxes.
- Auto-renewal. Subscriptions automatically renew at the end of each billing period at the then-current price unless you cancel before the renewal date.
- Cancellation and refunds. You may cancel at any time from your account settings. When you cancel, you will not be charged for the next term.
- For monthly plans, cancellation stops all future monthly charges; you keep access through the end of the current billing month, and the current month is not refunded.
- For annual plans, we will refund the unused portion of your subscription, prorated from the date of cancellation.
- Free trials. If we offer a free trial, we will begin charging your payment method when the trial ends unless you cancel beforehand.
7. Acceptable use
You agree not to:
- Use the Service in violation of any applicable law or regulation, including securities laws;
- Scrape, harvest, resell, or redistribute Service content except as expressly permitted;
- Reverse engineer, interfere with, or disrupt the Service or its infrastructure;
- Attempt to gain unauthorized access to any account, system, or data;
- Share, resell, or provide access to your account to others outside your subscription terms;
- Use the Service to develop a competing product or to train competing models; or
- Upload malicious code or use the Service in any way that is harmful, fraudulent, or infringing.
8. Intellectual property
The Service, including its software, design, text, and branding (excluding third-party and public source data), is owned by Metagraph LLC and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal or internal business use in accordance with these Terms. All rights not expressly granted are reserved. You retain ownership of content you submit, and you grant us a license to host and process it as needed to operate the Service.
9. Third-party services
The Service integrates with or links to third-party services (such as authentication, payment, analytics, and data providers). Your use of those services is governed by their terms and policies, and we are not responsible for them.
10. Disclaimer of warranties
The Service and all content are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any content will be accurate or reliable. To the maximum extent permitted by law, we disclaim all such warranties.
11. Limitation of liability
To the maximum extent permitted by law, in no event will Metagraph LLC or its member, officers, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or investment or trading losses, arising out of or relating to your use of or inability to use the Service, whether based in contract, tort, or otherwise, even if we have been advised of the possibility of such damages. Our total aggregate liability for all claims relating to the Service will not exceed the total amount you paid us for the Service in the three (3) months preceding the event giving rise to the claim; where applicable law does not permit that limitation, our liability will be limited to the smallest amount permitted by that law.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.
12. Indemnification
You agree to indemnify and hold harmless Metagraph LLC and its member and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any law or the rights of a third party.
13. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access at any time, with or without notice, if you violate these Terms or if we discontinue the Service. Upon termination, your right to use the Service ceases, and provisions that by their nature should survive (including Sections 4, 8, 10, 11, 12, 14, and 15) will survive.
14. Governing law, disputes, and class-action waiver
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Orange County, California will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to personal jurisdiction there. Nothing in these Terms prevents either party from bringing an eligible claim in a small claims court.
Individual claims only. To the fullest extent permitted by law, you and Tickrwise agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative action. Unless both parties agree otherwise, neither party may consolidate or join the claims of more than one person or party.
Jury trial waiver. To the fullest extent permitted by law, each party waives any right to a trial by jury in any dispute arising out of or relating to these Terms or the Service.
15. Miscellaneous
- Entire agreement. These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Service and supersede any prior agreements on that subject.
- Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
- No waiver. Our failure to enforce any right or provision of these Terms will not be a waiver of that right or provision.
- Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms, including in connection with a merger, acquisition, financing, or sale of assets. These Terms bind and benefit the parties and their permitted successors and assigns.
- No third-party beneficiaries. These Terms do not create any rights for, and may not be enforced by, any person or entity that is not a party to them.
- Force majeure. We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, network or hosting outages, and third-party service failures.
- Notices. We may provide notices to you by email or through the Service.
16. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, notify you through the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
